aubreTEC Affiliate Terms and Conditions

Definition of Terms:

For the purposes of this document, the terms "aubreTEC", "aubreTEC Labs", and any variation of these will refer to Luc Aubret, his business interests, products and services.

The terms "associate", "affiliate", and/or "salesperson" will refer to any person other than Luc Aubret participating in this affiliate program or selling any items on a commissioned basis.


The terms "catalog", "sales device", and "vendor" refer to any scripted item designed to facilitate transactions between aubreTEC Labs and customers.

The terms "program" and "affiliate program" refer to any arrangement made between aubreTEC Labs and a given individual to allow the sale of products and services using the individual as a third party.

Acceptance of Terms:

Any individual engaging in the affiliate program or otherwise using an aubreTEC catalog or vendor in a fashion consistent with the program is considered to have accepted the terms of this document. This acceptance is implied and requires no formal signature. Furthermore, acceptance of this document implies acceptance of the answers given in the Frequently Asked Questions document; if this document has not been received by an associate, that individual should request and read this document before proceeding.


Confusion, miscommunication, and/or misunderstanding do not excuse violations of the terms set down in this document. It is the responsibility of a potential associate to clarify any misunderstandings before engaging in this program.


Liability:

aubreTEC Labs can not be held liable for any consequences of the actions of its associates, or for any financial losses suffered due to the misuse and/or misappropriation of its sales devices. Furthermore it is not responsible for arrangements made by its associates without the written consent of Luc Aubret.


Termination:

This agreement may be terminated at any time, by either party, for any reason and at their discretion. However, termination on behalf of the associate must be followed by the immediate deletion of all copies of aubreTEC sales devices from their inventory. Continued use of the devices after the termination of an agreement will signify a renewal of the agreement.


Rules of Conduct:

Any of the following actions will result in immediate termination of the agreement by aubreTEC Labs at their discretion:

1. Using the sales device to sell on aubreTEC property or on any property that contains an aubreTEC vendor not owned by the selling associate.
2. Use of the aubreTEC name, logos, product names, or slogans on any media (other than the catalog) not previously approved by aubreTEC Labs.
3. Any conduct that reflects poorly on aubreTEC, its business practices, morals, products, or employees.
4. Misrepresentation of an associate as the creator of aubreTEC products or an employee of aubreTEC Labs.
5. Any attempt to sell aubreTEC products in a venue other that direct person-to-person exchange through an aubreTEC-approved sales device.
6. Misrepresentation of a product's price, feature set, build, or nature.
7. Any conduct that breaks the Secondlife Terms of Service in any way. Such breaks will also be reported, at aubreTEC's discretion, to Linden Labs along with any supporting data or documentation.
8. Any other conduct which aubreTEC Labs deems inappropriate or counter to its business interests.


Commissions:

This agreement specifies a 10% commission on on sales conducted by the associate through an aubreTEC sales device. This commission is carried out automatically by aubreTEC's catalog system. No person-to-person commissions will be paid (except in the event of a failed commission transaction, in which case the first failed transaction and no others will be settled at the discretion of aubreTEC Labs). If a catalog system fails to pass along aubreTEC's portion of the sale to aubreTEC Labs, the associate is required to manually remand all funds and delete all copies of the failed vendor immediately; aubreTEC Labs will replace the defunct vendor. The associate agrees not to discuss the terms of his/her agreement to anyone else.


Non-Disclosure:

The associate agrees not to share any information identified either verbally or in writing by aubreTEC Labs as non-public information with anyone other than Luc Aubret.

Obligation:

This agreement neither states nor implies any obligation incumbent on either party other than the sale-based commission (under stated limitations) described in the previous section. Associate agrees, however, to abide by any and all requirements that may be added for practical reasons in the future, or to discontinue this agreement and all activities involving aubreTEC sales devices at the time of their introduction.
